1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Athens Search website at athenssearch.com and the Athens Search eDiscovery platform at app.athenssearch.com (collectively, the "Service"), operated by Athens Search LLC ("Athens Search," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

Athens Search provides an eDiscovery platform that enables legal and corporate users to upload, ingest, search, review, tag, and produce documents and email for legal matters. The Service includes optional integrations with third-party data sources (including Google Gmail and Microsoft 365) for importing user-authorized email into a case workspace.

3. Eligibility & Account Registration

You must be at least 18 years old and authorized to enter into a binding contract to use the Service. When creating an account, you agree to provide accurate, current, and complete information, and to keep that information up to date.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. Notify us immediately at info@athenssearch.com of any unauthorized use.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or court order
• Infringe the intellectual property or privacy rights of any third party
• Upload content you do not have the legal right to process, including data subject to legal hold by another party
• Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to send spam, malware, or any harmful code
• Interfere with or disrupt the Service or networks connected to the Service

5. Your Content & Data Ownership

You retain all rights, title, and interest in the documents, email, metadata, tags, and other content you upload or import into the Service ("Customer Data"). You grant Athens Search a limited, non-exclusive license to host, process, index, transmit, and display your Customer Data solely to provide the Service to you.

We do not use your Customer Data to train machine learning models, to provide service to other customers, or for any purpose other than operating the Service for you.

6. Third-Party Integrations

The Service offers optional integrations with third-party services, including Google Gmail and Microsoft 365. When you connect a third-party account, you authorize Athens Search to access data from that service on your behalf, subject to the permissions you grant during the OAuth consent flow.

Athens Search's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. You can revoke our access at any time from the third-party service's account settings, which immediately stops any further data import.

7. Fees & Payment

Use of the Service may require payment of subscription or usage fees as described in your order form or in the pricing displayed at sign-up. Fees are billed in advance and are non-refundable except where required by law. We may change pricing with at least 30 days' notice for subscription renewals. Late or unpaid fees may result in suspension of the Service.

Payment processing is handled by Stripe; we do not store credit card details on our infrastructure.

8. Confidentiality

Customer Data is your confidential information. We will not access, disclose, or use Customer Data except (a) to provide the Service to you, (b) as you direct, or (c) as required by law (in which case we will, where legally permitted, give you notice before disclosure).

9. Intellectual Property

The Service, including all software, design, branding, and documentation, is the exclusive property of Athens Search LLC and is protected by U.S. and international intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology, other than the limited right to access and use the Service.

10. Service Availability

We strive to keep the Service available and performant, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or events outside our control. We are not liable for any unavailability or for data unavailability during such periods.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ATHENS SEARCH DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATHENS SEARCH AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold Athens Search harmless from any claim, demand, damage, or expense (including reasonable attorneys' fees) arising out of (a) your Customer Data, (b) your breach of these Terms, or (c) your violation of any law or the rights of a third party.

14. Termination

You may cancel your account at any time by contacting info@athenssearch.com. We may suspend or terminate your access to the Service if you materially breach these Terms, with notice where reasonably practicable.

Upon termination, you may request export of your Customer Data within 30 days. After 30 days, we may delete Customer Data, subject to any legal retention obligations.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Midland County, Texas, and you consent to personal jurisdiction in those courts.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date, or by emailing the address on file. Continued use of the Service after a material change constitutes acceptance.

17. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Athens Search regarding the Service. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right is not a waiver of that right.
